COLLABIL TERMS OF SERVICE

Welcome to Collabil! These Terms of Service ("Terms", "ToS") constitute a legally binding agreement between you ("you", "your" or "User") and Collabil Pte Ltd ("Collabil", "we", "us" or "our"), a company incorporated in Singapore with registered address at Unit 1, Level 17, 3 Philip Street, Singapore 048693.

By accessing or using the Collabil platform (available at collabil.app, collabil.cn and any associated mobile applications, collectively the "Platform"), you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

1. DEFINITIONS

For the purposes of these Terms:

1.    "Platform" means the Collabil website, mobile applications and all associated services.

2.    "Services" means all services provided by Collabil including but not limited to accommodation booking, information resources, community forums and connections to third-party service providers.

3.    "User", "you" or "your" means any person or entity accessing or using the Platform.

4.    "Student" means an international student who is enrolled or preparing to enrol at a tertiary educational institution.

5.    "Accommodation Provider" means any entity or individual offering accommodation listings on the Platform.

6.    "Service Provider" means third-party companies offering services through the Platform, including but not limited to insurance providers, banking services and telecommunications providers.

7.    "Content" means all text, images, videos, data, information and materials posted, uploaded or transmitted through the Platform.

2. ELIGIBILITY AND ACCOUNT REGISTRATION

2.1 Age Requirements

Users must be at least 18 years of age to use the Platform without restriction. Users under the age of 18 may use the Platform only with the express consent and supervision of a parent or legal guardian who agrees to be bound by these Terms on behalf of the minor user.

2.2 Student Verification

To access certain features of the Platform, you may be required to verify your status as an international student by providing:

1.    Proof of enrolment or acceptance at a recognised educational institution;

2.    Valid identification documents;

3.    Such other documentation as Collabil may reasonably require.

Collabil reserves the right to verify the authenticity of submitted documents and reject or suspend accounts that fail verification.

2.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify Collabil of any unauthorised use of your account or any other breach of security.

2.4 Accurate Information

You represent and warrant that all information you provide to Collabil is accurate, current and complete. You agree to update your information promptly to maintain its accuracy.

3. PLATFORM SERVICES

3.1 Nature of Services

Collabil operates as a marketplace platform connecting international students with accommodation providers and other service providers. Collabil facilitates connections and transactions but is NOT a party to any agreements between Users and Accommodation Providers or Service Providers unless explicitly stated otherwise.

3.2 Accommodation Booking Services

Payment Processing:

Depending on the Accommodation Provider's preference, payments may be processed either (a) directly by Collabil on behalf of the provider or (b) directly by the Accommodation Provider with Collabil receiving a commission. The specific payment method will be clearly indicated during the booking process.

Commission Disclosure:

You acknowledge and agree that Collabil earns commission fees from Accommodation Providers and Service Providers for bookings and services arranged through the Platform. These commissions do not increase the price you pay.

3.3 Third-Party Service Providers

The Platform may facilitate access to third-party services including insurance, banking and payment services, telecommunications and other services. Your use of such third-party services is governed by the respective service provider's terms and conditions. Collabil acts solely as an intermediary and is not responsible for the performance, quality or legality of third-party services.

3.4 Community Forums and User-Generated Content

The Platform includes community forums where Users may post questions, advice, reviews and other content. While Collabil moderates these forums and reserves the right to remove content that violates these Terms or applicable law, we do not endorse, verify or guarantee the accuracy of user-generated content.

3.5 Information and Resources

Collabil provides educational resources, guides and information to assist international students. This information is provided for general informational purposes only and does not constitute professional advice. You should independently verify important information and consult qualified professionals as needed.

4. ACCOMMODATION PROVIDER VETTING

4.1 Verification Process

Collabil conducts reasonable verification of Accommodation Providers, which may include physical property visits to confirm the existence and condition of listed properties. However, Collabil does not guarantee the accuracy, quality, safety or legality of any accommodation listing.

4.2 User Due Diligence

YOU ARE SOLELY RESPONSIBLE for conducting your own due diligence before booking any accommodation. This includes reviewing property details, reading reviews, communicating with providers and inspecting properties where possible. Collabil's vetting process does not replace your independent assessment.

4.3 No Endorsement

The presence of a listing on the Platform does not constitute an endorsement or recommendation by Collabil. Collabil makes no representations or warranties regarding the suitability, quality or safety of any accommodation.

5. BOOKINGS, CANCELLATIONS and REFUNDS

5.1 Booking Confirmation

When you make a booking through the Platform, you are entering into a binding agreement with the Accommodation or Service Provider (not with Collabil unless explicitly stated). Booking confirmations will be sent via email and/or displayed on the Platform.

5.2 Cancellation and Refund Policy

Cancellations and refunds are governed by the specific Accommodation or Service Provider's cancellation policy, which will be clearly displayed before booking confirmation. Collabil does not maintain a separate cancellation or refund policy for accommodation bookings.

If Collabil processes the payment on behalf of an Accommodation Provider, we will facilitate refunds in accordance with the provider's stated policy. Processing time for refunds may vary depending on payment method and financial institutions.

5.3 Payment Disputes

In the event of payment disputes between Users and Accommodation Providers, Collabil will make reasonable efforts to facilitate resolution but is not obligated to provide refunds or compensation. Disputes should be resolved primarily between the User and the Accommodation Provider.

5.4 Service Provider Bookings

For services booked through third-party Service Providers (insurance, banking, telecommunications), cancellation and refund policies are governed exclusively by the respective Service Provider's terms and conditions.

6. USER CONDUCT AND PROHIBITED ACTIVITIES

You agree NOT to:

1.    Use the Platform for any unlawful purpose or in violation of these Terms;

2.    Provide false, inaccurate or misleading information;

3.    Impersonate any person or entity or falsely state or misrepresent your affiliation;

4.    Post or transmit any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene or otherwise objectionable;

5.    Violate the intellectual property rights of Collabil or any third party;

6.    Attempt to gain unauthorised access to the Platform, other user accounts or computer systems;

7.    Interfere with or disrupt the Platform or servers or networks connected to the Platform;

8.    Use any robot, spider, scraper or other automated means to access the Platform;

9.    Circumvent payment systems or fees by conducting transactions outside the Platform after initial contact through the Platform;

10.  Post spam, advertising or promotional materials without Collabil's prior written consent;

11.  Collect or harvest personal information of other Users without their consent.

Violation of these provisions may result in immediate termination of your account and legal action.

7. CONTENT MODERATION AND INTELLECTUAL PROPERTY

7.1 User-Generated Content

By posting content on the Platform, you grant Collabil a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute and display such content in connection with operating and promoting the Platform.

7.2 Content Monitoring

Collabil reserves the right (but has no obligation) to monitor, review, edit or remove user-generated content that violates these Terms or applicable law. We employ content moderation practices for community forums to maintain a safe and respectful environment.

7.3 Reporting Violations

Users can report content that violates these Terms or applicable law using the reporting mechanisms provided on the Platform. Collabil will investigate reports and take appropriate action, which may include content removal and account suspension.

7.4 Intellectual Property Rights

All content on the Platform, including but not limited to text, graphics, logos, images, software and design elements, is the property of Collabil or its licensors and is protected by copyright, trademark and other intellectual property laws. You may not use, reproduce or distribute any such content without express written permission from Collabil.

8. DISCLAIMERS AND LIMITATIONS OF LIABILITY

8.1 Platform Provided "AS IS"

THE PLATFORM AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. COLLABIL DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE and NON-INFRINGEMENT.

8.2 No Guarantee of Accuracy

Collabil does not warrant that (a) the Platform will be uninterrupted, secure or error-free; (b) the information provided through the Platform is accurate, complete or current; (c) any defects or errors will be corrected; or (d) the Platform is free from viruses or other harmful components.

8.3 Third-Party Content and Services

COLLABIL IS NOT RESPONSIBLE FOR THE ACTS, ERRORS, OMISSIONS, REPRESENTATIONS, WARRANTIES, BREACHES or NEGLIGENCE OF ANY ACCOMMODATION PROVIDERS, SERVICE PROVIDERS or OTHER THIRD PARTIES or FOR ANY PERSONAL INJURIES, DEATH, PROPERTY DAMAGE or OTHER DAMAGES or EXPENSES RESULTING THEREFROM.

8.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL COLLABIL, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS or AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL or PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL or OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM.

COLLABIL'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO COLLABIL IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY or (B) SGD $100.

8.5 Jurisdiction-Specific Rights

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, the above limitations may not apply to you and Collabil's liability will be limited to the maximum extent permitted by law.

9. INDEMNIFICATION

You agree to indemnify, defend and hold harmless Collabil, its affiliates and their respective directors, officers, employees, agents and representatives from and against any and all claims, liabilities, damages, losses, costs, expenses or fees (including reasonable attorneys' fees) arising from:

1.    Your use of the Platform or Services;

2.    Your violation of these Terms;

3.    Your violation of any rights of another person or entity;

4.    Any content you post or transmit through the Platform;

5.    Your dealings with Accommodation Providers or Service Providers.

10. PRIVACY AND DATA PROTECTION

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use and disclosure of your personal information as described in the Privacy Policy.

Collabil is committed to compliance with applicable data protection laws, including the General Data Protection Regulation (GDPR) for users in the European Union. You have rights regarding your personal data as set forth in our Privacy Policy.

11. DISPUTE RESOLUTION

11.1 Informal Resolution

If you have any dispute with Collabil, you agree to first contact us at support@collabil.com and attempt to resolve the dispute informally. Please include a detailed description of the dispute and your proposed resolution.

11.2 Mediation

If the dispute cannot be resolved informally within thirty (30) days, the parties agree to submit the dispute to mediation administered by the Singapore Mediation Centre (SMC) in accordance with the SMC Mediation Procedure in force at the time of the dispute. The mediation shall be conducted in Singapore in the English language.

11.3 Arbitration

If mediation does not result in resolution within sixty (60) days of commencement, the dispute shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the Arbitration Rules of SIAC for the time being in force.

The arbitration shall be conducted as follows:

1.    The seat of arbitration shall be Singapore;

2.    The Tribunal shall consist of one (1) arbitrator to be appointed by mutual agreement or, failing agreement, by the SIAC;

3.    The language of the arbitration shall be English;

4.    The award of the arbitrator shall be final and binding upon the parties.

11.4 Exceptions

Notwithstanding the above, Collabil may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

11.5 Class Action Waiver

To the extent permitted by law, you agree that disputes will be resolved on an individual basis and not as part of a class action, consolidated action or representative action.

12. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

Where Users are located in jurisdictions with mandatory consumer protection laws (including the United States, United Kingdom, Australia and European Union member states), Collabil acknowledges that such laws may provide rights that cannot be waived by contract and these Terms shall not limit such statutory rights.

13. TERM AND TERMINATION

13.1 Term

These Terms remain in effect for as long as you access or use the Platform.

13.2 Termination by User

You may terminate your account at any time by contacting us at support@collabil.com. Upon termination, you will no longer have access to your account or any content associated with it.

13.3 Termination by Collabil

Collabil may suspend or terminate your access to the Platform at any time, with or without cause, with or without notice, effective immediately. Grounds for termination may include but are not limited to:

1.    Breach of these Terms;

2.    Fraudulent, abusive or illegal activity;

3.    Extended periods of inactivity;

4.    Technical or security concerns;

5.    Discontinuation of the Platform or Services.

13.4 Effect of Termination

Upon termination: (a) your right to use the Platform will immediately cease; (b) outstanding obligations (including payments owed) will survive; (c) provisions intended to survive termination (including disclaimers, limitations of liability, indemnification and dispute resolution) will remain in effect.

14. MODIFICATIONS TO TERMS

Collabil reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Last Updated" date. Your continued use of the Platform after such modifications constitutes your acceptance of the updated Terms.

If you do not agree to the modified Terms, you must discontinue your use of the Platform.

15. GENERAL PROVISIONS

15.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Collabil regarding your use of the Platform and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect and the invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

15.3 Waiver

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision and Collabil's failure to assert any right under these Terms shall not constitute a waiver of such right.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without Collabil's prior written consent. Collabil may assign these Terms without restriction.

15.5 Force Majeure

Collabil shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, labour disputes, governmental actions or internet service provider failures.

15.6 Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights except as expressly stated herein.

15.7 Language

These Terms may be translated into other languages for your convenience. In the event of any conflict between the English version and a translated version, the English version shall prevail.
